1) Scope

1.1 These General Terms and Conditions (hereinafter “GTC”) of Youvendo GmbH, Im Stöckacker 18, 79224 Umkirch, Germany (hereinafter “Seller”), apply to all contracts for the delivery of goods which a consumer or trader (hereinafter “Customer”) concludes with the Seller with regard to the goods presented by the Seller in its online shop. The inclusion of the Customer’s own terms and conditions is hereby rejected, unless otherwise agreed.

1.2 These GTC apply mutatis mutandis to contracts for the delivery of vouchers, unless expressly provided otherwise in this respect.

1.3 A consumer within the meaning of these GTC is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or self-employed profession. A trader within the meaning of these GTC is a natural or legal person or a partnership with legal capacity who, when entering into a legal transaction, acts in the exercise of their trade, business or self-employed profession.

1.4 Depending on the Seller’s product description, the subject matter of the contract may be either the purchase of goods by way of a one-off delivery or the purchase of goods by way of a continuing delivery (hereinafter “subscription contract”). Under a subscription contract, the Seller undertakes to deliver to the Customer the goods owed under the contract for the duration of the agreed contract term at the contractually agreed intervals.

2) Conclusion of the contract

2.1 The product descriptions contained in the Seller’s online shop do not constitute binding offers on the part of the Seller, but serve as an invitation to the Customer to submit a binding offer.

2.2 The Customer may submit the offer via the online order form integrated into the Seller’s online shop. In doing so, after having placed the selected goods in the virtual shopping cart and gone through the electronic ordering process, the Customer submits a legally binding contractual offer in respect of the goods contained in the shopping cart by clicking the button that concludes the ordering process. Furthermore, the Customer may also submit the offer to the Seller by telephone, by email or via the online contact form.

2.3 The Seller may accept the Customer’s offer within five days,

  • by sending the Customer a written order confirmation or an order confirmation in text form (fax or email), in which case receipt of the order confirmation by the Customer is decisive, or
  • by delivering the ordered goods to the Customer, in which case receipt of the goods by the Customer is decisive, or
  • by requesting the Customer to make payment after the Customer has placed the order.

If several of the aforementioned alternatives apply, the contract is concluded at the point in time at which one of the aforementioned alternatives first occurs. The period for acceptance of the offer begins on the day after the Customer sends the offer and ends upon expiry of the fifth day following the sending of the offer. If the Seller does not accept the Customer’s offer within the aforementioned period, this shall be deemed a rejection of the offer, with the consequence that the Customer is no longer bound by its declaration of intent.

2.4 Where the payment method “PayPal” or “PayPal Express” is selected, payment is processed via the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (hereinafter “PayPal”), subject to the PayPal User Agreement, which can be viewed at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full. If the Customer selects “PayPal Express” as the payment method during the online ordering process, by clicking the button that concludes the ordering process the Customer at the same time also issues a payment order to PayPal. In this case, the Seller hereby declares, already now, its acceptance of the Customer’s offer at the point in time at which the Customer initiates the payment transaction by clicking the button that concludes the ordering process.

2.5 When an offer is submitted via the Seller’s online order form, the text of the contract is stored by the Seller after the conclusion of the contract and transmitted to the Customer in text form (e.g. email, fax or letter) after the Customer has sent its order. The Seller does not make the text of the contract accessible beyond this.

2.6 Before bindingly placing the order via the Seller’s online order form, the Customer can identify possible input errors by carefully reading the information displayed on the screen. An effective technical means of better identifying input errors may be the browser’s zoom function, which enlarges the display on the screen. Within the electronic ordering process, the Customer can correct its entries using the usual keyboard and mouse functions until it clicks the button that concludes the ordering process.

2.7 Only the German language is available for the conclusion of the contract.

2.8 Order processing and communication generally take place by email and automated order processing. The Customer must ensure that the email address provided by it for order processing is correct, so that emails sent by the Seller can be received at this address. In particular, where SPAM filters are used, the Customer must ensure that all emails sent by the Seller or by third parties commissioned by the Seller with order processing can be delivered.

3) Right of withdrawal

3.1 Consumers are generally entitled to a right of withdrawal.

3.2 Further information on the right of withdrawal can be found in the Seller’s instructions on withdrawal.

3.3 The right of withdrawal does not apply to consumers who, at the time of conclusion of the contract, are not nationals of a Member State of the European Union and whose sole place of residence and delivery address are located outside the European Union at the time of conclusion of the contract.

4) Prices and terms of payment

4.1 Unless otherwise stated in the Seller’s product description, the prices quoted are total prices including statutory value added tax. Any additional delivery and shipping costs that may be incurred are stated separately in the respective product description.

4.2 For deliveries to countries outside the European Union, additional costs may be incurred in individual cases for which the Seller is not responsible and which are to be borne by the Customer. These include, for example, costs for the transfer of money by credit institutions (e.g. transfer fees, exchange rate fees) or import duties or taxes (e.g. customs duties). Such costs may also be incurred in relation to the transfer of money where the delivery is not made to a country outside the European Union but the Customer makes the payment from a country outside the European Union.

4.3 The payment methods available to the Customer are communicated to the Customer in the Seller’s online shop.

4.4 Where the payment method “PayPal” or “PayPal Express” is selected, payment is processed via the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (hereinafter “PayPal”), subject to the PayPal User Agreement, which can be viewed at https://www.paypal.com/de/webapps/mpp/ua/useragreement-full.

4.5 Where a payment method offered via “Shopify Payments” is selected (in particular credit card and – where offered – Apple Pay or Google Pay), payment is processed via Shopify International Limited, 2nd Floor Victoria Buildings, 1–2 Haddington Road, Dublin 4, D04 XN32, Ireland, with the involvement of a payment processor (e.g. Stripe Payments Europe, Ltd., Ireland). The Shopify Payments terms of use apply in addition. In the case of payment by credit card, the invoice amount is due immediately upon conclusion of the contract; the card is charged immediately after the order has been sent. Even where Shopify Payments is involved, the Seller remains responsible for general customer enquiries, e.g. regarding goods, delivery time, shipping, returns, complaints, declarations of withdrawal and return consignments, or credit notes.

5) Terms of delivery and shipping

5.1 Goods are delivered by dispatch to the delivery address specified by the Customer, unless otherwise agreed. The delivery address specified in the Seller’s order processing is decisive for the processing of the transaction.

5.2 If the transport company returns the dispatched goods to the Seller because delivery to the Customer was not possible, the Customer shall bear the costs of the unsuccessful dispatch. This does not apply if the Customer is not responsible for the circumstance that rendered delivery impossible or if the Customer was temporarily prevented from accepting the service offered, unless the Seller had given the Customer reasonable advance notice of the service. Furthermore, with regard to the costs of the outbound shipment, this does not apply if the Customer effectively exercises its right of withdrawal. Where the Customer effectively exercises the right of withdrawal, the provision made in this respect in the Seller’s instructions on withdrawal applies to the return costs.

5.3 Self-collection is not possible for logistical reasons.

5.4 Vouchers are provided to the Customer as follows: by post.

6) Contract term, subscription policy and termination of subscription contracts

6.1 Subject matter of the subscription. Under a subscription contract, the Seller delivers the selected goods to the Customer on a recurring basis at the delivery interval chosen by the Customer upon conclusion of the contract. The type, quantity and interval of delivery are determined by the respective product description and the order summary displayed to the Customer before the order is completed.

6.2 Available delivery intervals. Where offered for the respective product, the Customer may choose between the following intervals:

  • every 30 days: delivery of 1 tin (monthly delivery);
  • every 60 days: delivery of 2 tins (bimonthly delivery);
  • every 90 days: delivery of 3 tins (quarterly delivery).

The interval chosen by the Customer and the quantity included in each delivery are shown in the order summary and the order confirmation.

6.3 Prices and billing. The price payable for each delivery is invoiced to or collected from the Customer before each delivery via the payment method selected upon conclusion of the contract. Any price advantage granted under the subscription applies only for as long as the subscription exists.

6.4 Term, termination and pausing. Subscription contracts are concluded for an indefinite period. The Customer may terminate the subscription at any time without observing a notice period, with effect for all future deliveries not yet billed. A delivery that has already been billed or is already being processed will still be carried out. The Customer may also pause the subscription and change the delivery interval at any time; the corresponding functions are available to the Customer in its customer account.

6.5 Termination options (cancellation button pursuant to Section 312k of the German Civil Code (BGB)). The Customer may terminate the subscription (i) via the cancellation button provided for this purpose (“Cancel contracts here”), which can be accessed without prior login, (ii) via the management function in its customer account, or (iii) by means of an unequivocal declaration in text form (e.g. by email) sent to the contact details stated in the legal notice. Upon receipt of the notice of termination, the Seller confirms to the Customer in text form its receipt and the date on which the contract ends.

6.6 Price changes. The Seller notifies the Customer in text form of any changes to the price applicable to future deliveries before they take effect. The Customer may terminate the subscription at any time, as provided in clause 6.4.

6.7 Termination for cause. The right to extraordinary termination for good cause remains unaffected. Good cause exists if, taking into account all circumstances of the individual case and weighing the interests of both parties, the terminating party cannot reasonably be expected to continue the contractual relationship until the agreed end or until the expiry of a notice period.

7) Retention of title

If the Seller makes advance performance, it retains title to the delivered goods until the purchase price owed has been paid in full.

8) Liability for defects (warranty)

8.1 If the purchased item is defective, the provisions of statutory liability for defects apply.

8.2 The Customer is requested to complain to the delivery agent about goods delivered with obvious transport damage and to inform the Seller thereof. If the Customer fails to do so, this has no effect whatsoever on its statutory or contractual claims for defects.

9) Redemption of promotional vouchers

9.1 Vouchers which are issued by the Seller free of charge as part of promotional campaigns with a specific period of validity and which cannot be purchased by the Customer (hereinafter “promotional vouchers”) can only be redeemed in the Seller’s online shop and only within the specified period.

9.2 Individual products may be excluded from the voucher promotion if a corresponding restriction results from the content of the promotional voucher.

9.3 Promotional vouchers can only be redeemed before the ordering process is completed. Subsequent offsetting is not possible.

9.4 Only one promotional voucher can be redeemed per order.

9.5 The value of the goods must be at least equal to the amount of the promotional voucher. Any remaining balance will not be refunded by the Seller.

9.6 If the value of the promotional voucher is not sufficient to cover the order, one of the other payment methods offered by the Seller may be chosen to settle the difference.

9.7 The balance of a promotional voucher is neither paid out in cash nor does it bear interest.

9.8 The promotional voucher will not be refunded if the Customer returns the goods paid for in full or in part with the promotional voucher within the scope of its statutory right of withdrawal.

9.9 The promotional voucher is intended for use only by the person named on it. Transfer of the promotional voucher to third parties is excluded. The Seller is entitled, but not obliged, to verify the substantive entitlement of the respective voucher holder.

10) Redemption of gift vouchers

10.1 Vouchers that can be purchased via the Seller’s online shop (hereinafter “gift vouchers”) can only be redeemed in the Seller’s online shop, unless otherwise stated on the voucher.

10.2 Gift vouchers and remaining balances of gift vouchers can be redeemed until the end of the third year following the year in which the voucher was purchased. Remaining balances will be credited to the Customer until the expiry date.

10.3 Gift vouchers can only be redeemed before the ordering process is completed. Subsequent offsetting is not possible.

10.4 Only one gift voucher can be redeemed per order.

10.5 Gift vouchers can only be used to purchase goods and not to purchase further gift vouchers.

10.6 If the value of the gift voucher is not sufficient to cover the order, one of the other payment methods offered by the Seller may be chosen to settle the difference.

10.7 The balance of a gift voucher is neither paid out in cash nor does it bear interest.

10.8 The gift voucher is transferable. The Seller may render performance with discharging effect to the respective holder who redeems the gift voucher in the Seller’s online shop. This does not apply if the Seller has knowledge or grossly negligent lack of knowledge of the respective holder’s lack of entitlement, legal incapacity or lack of power of representation.

11) Applicable law

11.1 All legal relationships between the parties are governed by the law of the Federal Republic of Germany, excluding the laws on the international sale of movable goods. For consumers, this choice of law applies only insofar as the protection granted is not withdrawn by mandatory provisions of the law of the state in which the consumer has their habitual residence.

11.2 Furthermore, with regard to the statutory right of withdrawal, this choice of law does not apply to consumers who, at the time of conclusion of the contract, are not nationals of a Member State of the European Union and whose sole place of residence and delivery address are located outside the European Union at the time of conclusion of the contract.

12) Place of jurisdiction

If the Customer acts as a merchant, a legal entity under public law or a special fund under public law with its registered office in the territory of the Federal Republic of Germany, the exclusive place of jurisdiction for all disputes arising from this contract is the Seller’s place of business. If the Customer has its registered office outside the territory of the Federal Republic of Germany, the Seller’s place of business is the exclusive place of jurisdiction for all disputes arising from this contract if the contract or claims arising from the contract can be attributed to the Customer’s professional or commercial activity. In the aforementioned cases, however, the Seller is in any event entitled to bring an action before the court at the Customer’s registered office.

13) Alternative dispute resolution

13.1 The Seller is neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
